REYNOLDS ELEMENTARY
PTO BYLAWS
ARTICLE I NAME
The legal name of this organization is Reynolds Parent-Teacher Organization, Inc. hereinafter referred to as “Reynolds PTO” or “the PTO” and is located at 3975 Gladeridge, Houston, TX 77068.
ARTICLE II ARTICLES OF ORGANIZATION
Reynolds PTO exists as a 501(c)(3) non-profit group, incorporated under the laws of the State of Texas. Its “Articles of Organization” comprise these bylaws, which from time to time may be amended by the process set forth herein.
ARTICLE III PURPOSE - OBJECTIVES
The relationships within the Reynolds Elementary Community, which include students, teachers, staff, parents, guardians and patrons, are a vital influence on the success of our children’s futures.
Therefore, our Purpose is to foster a sense of support, pride and enthusiasm for Reynolds Elementary School. We strive to promote positive school and community relationships through family and student involvement.
Our Objective is to enhance the educational environment of Reynolds Elementary School by providing financial support to supplement shortfalls in district, state, and federal funding.
ARTICLE IV MISSION
Our mission is to support the school with our time, talents and resources in order that we may enhance the quality of the educational experience of all Reynolds Elementary students.
ARTICLE V MEMBERSHIP, DUES, VOTING RIGHTS
A. Reynolds PTO membership is open to any parent or guardian, who has a child enrolled at Reynolds Elementary, and any staff
member who subscribes to the purpose and objective of the PTO as outlined in these by-laws.
B. Dues shall be determined annually by the Board of Directors and shall be payable, without prorating, at any time during the
school calendar year.
C. Each member shall be entitled to one (1) vote on each matter submitted to a vote of the membership, if present at the meeting at
which such vote is taken.
ARTICLE VI POLICIES
The basic policies of the PTO shall be that:
A. Reynolds PTO shall be non-commercial, non-sectarian, and non-partisan.
B. The program of this organization is educational, and it shall be developed through conferences, committees, and projects.
C. The name of this organization, or the names of any members in their official capacities, shall not be used in any connection with a
commercial concern nor with any partisan interest nor for any purpose not appropriately related to promotion of the objectives
of the PTO.
D. Reynolds PTO shall neither directly nor indirectly participate or intervene in any political campaign on behalf of, or in opposition
to, any candidate for public office.
E. Reynolds PTO may cooperate with other organizations and agencies concerned with child welfare, but persons representing
Reynolds PTO in such matter shall make no commitments that bind the PTO.
F. Reynolds PTO shall not contribute financially to any other organization without the approval of the Executive Board, who shall
determine the necessity of such contribution.
ARTICLE VII RULES OF ORDER
The rules contained in Roberts Rules of Order, Newly Revised, shall govern the PTO except where they are in conflict with these bylaws.
ARTICLE VIII MEMBERSHIP MEETINGS
A. The first meeting of the General PTO Membership shall be held within the first two months of school for the purpose of
accepting the PTO Budget, as outlined by the Executive Board, and any other business matters set forth by the Executive
Board.
B. The annual meeting of the membership shall be held no later than May of each calendar year and shall be for the purpose of
transacting all
remaining business. Newly elected Officers of the Executive Board will be installed at the annual meeting. The Executive Board
shall specify the date of this meeting.
C. In addition to the annual meeting, there shall be three other General PTO membership meetings each school year. The Executive
Board shall the dates and provide such dates at the first General PTO Membership meeting.
D. Special meetings of the membership may be called by the President, the Principal, the Executive Board, or by not less than one-
tenth of the general membership.
E. Members present shall constitute a quorum for the transaction of business in any meeting of the organization.
ARTICLE IX OFFICERS
Section 1 Executive Board
The Executive Board shall be comprised of at least seven to nine voting members. The Executive Board must minimally include the following elected Officers: President, President Elect, at least two Vice Presidents, Secretary, and Treasurer. The Principal and Faculty Representative(s) are also members of the Executive Board. The Principal appoints the Faculty Representative(s). The Executive Board shall manage the affairs of the PTO and each Officer shall have one (1) vote.
Section 2 General Duties of the Executive Board
A1 Transact the necessary business of the PTO, including, but not limited to:
a. Choose the fundraisers and services to be provided during the school year.
b. Prepare the Budget for the fiscal year, to be submitted to the membership for approval.
c. Review the monthly financial report.
2. Create Standing Committees and/or Special Committees.
3. Present a report at the regular meeting of the PTO.
4. Form a Financial Review Committee to review the Treasurer’s accounts at a minimum of once annually.
5. Adopt Standing Rules that clarify, but do not contradict, these By-Laws.
6. Hold meetings during the school year as needed to transact business.
7. Perform specific duties as set forth in these by-laws.
8. Maintain accurate records to be passed on the following year.
9. Deliver all appropriate records, including a Year End Summary, to the President.
Section 3 Oath of Confidentiality
All PTO Board Officers shall be required to sign an oath of confidentiality. This oath states that Board members will not disclose any information regarding students, parents or staff of Reynolds Elementary School in a way that would compromise the PTO.
Section 4 Officer Positions & Duties
PRESIDENT
1. Preside at all meetings of the organization.
2. Develop a tentative plan of goals, a timeline of activities and budget, working with the Principal and Executive Board to refine and
finalize.
3. Work with the Executive Board members to recruit and appoint Committee Chairs.
4. Coordinate the work of the officers and committees of the organization in order that the objectives may be accomplished.
5. Member ex-officio of all committees.
6. Perform such other duties as needed.
7. Attend the monthly Parent Advisory Council meetings as scheduled by the SISD Community Relations Department when possible.
PRESIDENT-ELECT
1. Attend all meetings of the organization.
2. Shall act as an aide to the President.
3. Perform the duties of the President in the absence of that officer
4. Act as point of contact, communicating with the Executive Board on behalf of the area of focus represented by the position.
5. Perform other duties as needed.
VICE PRESIDENT – FUNDRAISING
1. Attend all meetings of the organization.
2. Oversee any and all activities pertaining to fundraising.
3. Assist in forming any committees needed for specific events, projects or activities.
VICE PRESIDENT – STUDENT ENRICHMENT
1. Attend all meetings of the organization.
2. Oversee any and all events pertaining to student enrichment and involvement.
3. Assist in forming committees to organize all cultural enrichment events or other projects that may be implemented to enrich the
educational opportunities for Reynolds students.
4. Act as the point of contact, communicating with the Executive Board on behalf of the area of focus represented by the position.
5. Perform other duties as needed.
VICE PRESIDENT – FAMILY INVOLVEMENT
1. Attend all meetings of the organization.
2. Oversee any and all events or programs designed to promote family involvement, and to help build awareness of the importance of
family involvement in a child’s education.
3. Assist in forming committees to coordinate special events, family nights, and all activities related to family involvement.
4. Act as the point of contact, communicating with the Executive Board on behalf of the area of focus represented by the position.
5. Perform other duties as needed.
VICE PRESIDENT – HOSPITALITY
1. Attend all meetings of the organization.
2. Oversee the welcoming and hospitality functions at Reynolds to express appreciation for staff and volunteers.
3. Assist in forming committees to organize luncheons, birthday recognition, staff appreciation, volunteer recognition.
4. Act as the point of contact, communicating with the Executive Board on behalf of the area of focus represented by the position.
5. Perform other duties as needed.
TREASURER
1. Attend all meetings of the organization.
2. Shall have charge and custody of and be responsible for all funds of Reynolds PTO.
3. Receive and give receipts for monies due and payable to the PTO.
4. Deposit all such monies in the name of Reynolds PTO in such banks and accounts as specified within three (3) banking days of
receipt.
5. File all forms requested by the IRS and the State of Texas.
6. Present a written report of transactions at each meeting of the Executive Board, the Board of Directors and of the General
PTO membership.
7. When possible, attend the Treasurer meetings of the Parent Advisory Council as scheduled by the SISD Community Relations
Department.
8. Perform other duties as needed.
SECRETARY
1. Attend all meetings of the organization.
2. Record and present the minutes of all meetings of the PTO.
3. Make available to Board members copies of meeting minutes for review.
4. Responsible for the maintenance of archival documents.
5. Act as the advisor on issues of parliamentary procedure.
FACULTY REPRESENTATIVE
1. Attend Executive Board meetings and, if possible, other meetings of the organization.
2. Work with the Principal and President in order that the objectives of the organization may be accomplished.
3. Assist in the development of goals, activities, and the master timeline.
4. Act as advisor and liaison between the staff and the PTO.
5. Assist with the teacher wish list.
ARTICLE X STANDING AND SPECIAL COMMITTEES
COMMITTEE CHAIRS
1. Act as Chair or assist with at least one PTO event, program, or activity.
2. Each Chair shall report directly to the Board and shall perform such duties as delegated and approved by the Board.
3. Attend all meetings of the organization, when relevant to their position.
4. Written progress reports will be submitted to the Secretary prior to each Board meeting if unable to attend meetings.
MEMBERS AT LARGE
1. Support the PTO’s mission and purpose through the donation of time, talents or funds.
ARTICLE XI ELECTION AND VACANCY
Section 1 Officer Nomination
A. The Board of Directors shall bring forth the nominations for Executive Officers to be presented at the general election.
B. The slate of nominees shall be made public at least one month prior to the general election.
C. At the general election, prior to the vote, the President shall solicit additional nominations from the floor for each office. Only
those persons who have consented to serve if elected shall be eligible.
D. It is recommended that those nominated as Officers shall have served at least one (1) year on the Board to be considered
eligible for an Executive Board position.
E. A person shall not be eligible to serve more than two (2) consecutive terms in the same Executive position.
F. The term of office for President and President Elect shall be one year.
Section 2 Officer Elections
A. All members of the PTO are eligible to vote during General meetings.
B. The general election shall be held during the Annual Meeting of the General PTO Membership in May.
C. Voting shall be by casting of ballots or by show of hands at the determination of the President.
D. PTO Board members, excluding those running for office, shall count ballots.
E. A majority of the votes cast during the General Meeting shall be required to be elected to office.
Section 3 Installation
A. Officers shall be installed at the Annual Meeting of the General PTO Membership held in May.
B. Officers shall assume their official duties at the close of the school term and shall serve for a term of one (1) year and/or until
a successor is installed, with the exception of the Treasurer who shall serve until the books are closed for the school year.
Section 4 Vacancy or Removal
A. A vacancy in any Executive office, for whatever reason, shall be filled by the majority vote of the Executive Board, for the
remainder of the term. The President Elect, who shall also serve the term as President for which she/he would in natural
progression, shall fill a vacancy in the office of President.
B. Any Officer or Committee Chair may be removed by a majority vote of the Executive Board whenever it is determined that the
best interests of the PTO would be served by such removal.
C. Any vacancy or opening will be filled from within the PTO so that the purpose and objectives of the organization may be fulfilled.
ARTICLE XII STANDING AND SPECIAL COMMITTEES
A. The Executive Board may create standing committees, as deemed necessary, to help carry out the objectives of the PTO.
B. The Chair of each standing committee shall be responsible for maintaining up to date records including an end of the year
summary.
C. The power to form special committees and appoint their members rests with the Executive Board. Because a special committee
is created and appointed for a specific purpose, it is automatically out of existence when its work is done and its final report is
received.
D. The President shall be a member with voting privileges of all committees. The Principal shall be a non-voting member of all
committees.
ARTICLE XIII CONTRACTS, CHECKS, DEPOSITS AND FUNDS
A. The Executive Board may authorize any officer(s) or agent(s) of the PTO, in addition to the officers so authorized by these
bylaws, to enter into any contract or execute and deliver any instrument in the name of and for the PTO. Such authority may
be general or confined to a specific instance.
B. The Board may accept on behalf of the PTO any gift or contribution for any general or special purpose of the PTO.
C. The Treasurer and at least two other designated Officers, as determined by vote of the Executive Board, shall act as the
signatories on behalf of the PTO.
D. The Treasurer and at least one other designated Officer shall sign all checks, drafts, or orders for the payment of money,
notes or other evidence of indebtedness issued in the name of Reynolds PTO.
E. Bank signature cards shall be updated with any new signatories as dictated by personnel changes and after the closing of the
books and the Financial Review has been completed.
F. Any Officer of the PTO employed by Spring ISD shall not be considered as an eligible signatory on behalf Reynolds PTO.
G. All funds of the PTO shall be deposited to the credit of the Reynolds PTO in such banks, trust companies or other depositories
as the Board may select, within three (3) banking days of receipt.
H. Reynolds PTO shall carry Officer Liability Insurance and Fidelity Bond Coverage. The policy shall be kept on file with the
Treasurer’s records.
I. The PTO shall carry over a balance of $1000 to cover costs. All other funds shall be used to the benefit of Reynolds
Elementary as outlined in the objectives of the PTO in the fiscal year in which they were raised.
J. Additional funds may be carried over from one year to the next if they are designated for a specific purpose by the last day of
the school year.
ARTICLE XIII MISCELLANEOUS
A. Reynolds PTO shall keep correct and complete books and records of account, which may be inspected by any member or his/her
agent or attorney for any proper purpose at any reasonable time.
B. A Financial Review Committee of not less than three persons consisting of individuals from the General Membership and/or a
member of the Executive Board shall examine the Treasurer’s accounts at least semi-annually.
C. When satisfied the books are complete and correct, they shall sign a statement to that affect.
D. In keeping with SISD, a full background check shall be performed for all members of the Board and anyone serving on
committees of the PTO.
ARTICLE XIV AMENDMENTS TO BY-LAWS
These by-laws may be altered, amended or repealed and new by-laws adopted by a two-thirds majority vote of the members present at any regular meeting or at any special meeting if at least 10 days written notice is given of an intention to do so.
